Terms governing access to and use of the Viral Media Digital LLC (VMD) application on Apple iOS.

These Terms and Conditions (“Terms”) govern your access to and use of the Viral Media Digital LLC (“VMD,” “Viral Media Digital,” “we,” “our,” or “us”) application made available for Apple iOS, including the social, creator, communication, digital-content, wallet-interface, digital-utility, NFT, marketplace, gaming, event, subscription, and other functionality that VMD may make available within the iOS application.

By creating an account, accessing the VMD iOS application, or using its available services, you acknowledge that you have read and understood these Terms and agree to comply with them.

1. VMD and the iOS Application

Viral Media Digital LLC operates a multi-platform digital ecosystem. The features available within the VMD iOS application may differ from features available through the VMD website, Android application, or other VMD platforms.

Feature availability may depend on the operating system, application version, App Store requirements, user location, account status, verification status, technical availability, security requirements, applicable law, and applicable Apple App Store policies.

The existence or description of a feature elsewhere in the broader VMD ecosystem does not mean that such feature is necessarily available within the VMD iOS application.

2. Account Registration and Eligibility

Users must provide accurate information when creating and maintaining a VMD account and must satisfy the eligibility requirements presented by VMD during registration and use of the Platform.

Users are responsible for maintaining the confidentiality and security of their account credentials and for activity occurring through their account.

VMD may require account, age, identity, authenticity, security, seller, creator, or other verification when reasonably necessary to protect users, enforce Platform policies, prevent fraud, comply with applicable law, or provide particular functionality.

Automated, fraudulent, deceptive, impersonating, or unauthorized accounts are prohibited.

3. User Content

VMD may allow users to create, upload, publish, transmit, display, store, or share content, including posts, reels, videos, audio, comments, stories, profile information, marketplace content, event content, live streams, digital media, NFT-related media, and other user-generated content.

Users retain responsibility for the content they submit and must have the rights, licenses, permissions, and authority necessary to upload, publish, transmit, sell, display, or otherwise use that content through VMD.

Users may not use VMD to publish or distribute content that violates applicable law, infringes intellectual-property rights, unlawfully violates another person's privacy, impersonates another person or organization, facilitates fraud, or violates applicable VMD safety or community policies.

VMD may restrict, remove, disable, or investigate content when reasonably necessary for safety, moderation, legal compliance, intellectual-property enforcement, fraud prevention, or enforcement of these Terms.

4. Direct Messages and Private Features

VMD may provide direct messages, private stories, audio messages, restricted media, private communication tools, disappearing content, screenshot protections, recording protections, forwarding restrictions, and other privacy or security functionality.

Users must not intentionally bypass, disable, manipulate, reverse engineer, or interfere with privacy, access-control, anti-screenshot, anti-recording, anti-forwarding, or security protections implemented by VMD.

No electronic communication system can be guaranteed to be completely secure. Users should exercise appropriate care when sharing sensitive information.

5. VMD Wallet and Digital Utility

VMD may provide a wallet interface and related digital utility functionality. The VMD Wallet may display different categories of balances according to their origin, status, eligibility, restrictions, and permitted use.

Depending on the applicable account, platform and transaction type, displayed categories may include:

• total balance;
• available balance;
• transferable balance;
• withdrawable balance;
• restricted balance;
• pending balance;
• promotional balance;
• purchased balance;
• Apple-purchased balance;
• non-transferable balance.

A total displayed balance may contain more than one balance category and does not mean that every displayed amount is transferable, withdrawable, redeemable, or eligible for every transaction.

Balance eligibility may depend on how the balance was acquired, the applicable operating platform, application version, App Store requirements, verification status, jurisdiction, transaction type, security review, applicable law, technical availability, and VMD policies.

6. Apple In-App Purchases

7. Restricted Apple-Purchased VMD Balance

VMD digital utility credits acquired through Apple In-App Purchase are classified as a restricted Apple-purchased balance.

Unless otherwise expressly permitted under applicable Apple policies and VMD terms, Apple-purchased VMD balances:

• may be used only for eligible digital functionality expressly available within the VMD iOS application;
• are non-transferable;
• cannot be sent to another VMD user;
• cannot be transferred to an external wallet;
• cannot be withdrawn or redeemed for cash;
• cannot be exchanged for another currency or monetary value;
• cannot be used to purchase physical products;
• cannot be used to purchase physical or real-world services;
• are not eligible for shipping, delivery, or other real-world goods or services;
• do not expire solely because of the passage of time;
• do not represent legal tender, a bank deposit, a savings product, an investment, a security, an ownership interest, or a promise of profit.

8. Balance Separation

The VMD iOS Wallet may display wallet identity information, official profile information, VMD User ID, total displayed balance, eligible available balance, restricted Apple-purchased balance, non-transferable balance, transaction history, purchase history, and other supported wallet information.

VMD may maintain balance-origin, classification, eligibility, and restriction information to distinguish eligible balances from restricted, pending, non-transferable, or non-withdrawable balances.

Any transfer or withdrawal functionality available elsewhere within the VMD ecosystem applies only to balances independently classified by VMD as eligible for that functionality.

9. VMD Digital Utility Is Not an Investment

The VMD Wallet is not a bank account, deposit account, savings product, insured account, brokerage account, investment account, or escrow account.

VMD digital utility credits do not represent equity, shares, ownership, debt, profit participation, dividends, guaranteed liquidity, guaranteed appreciation, guaranteed returns, or guaranteed redemption rights.

Apple-purchased VMD digital utility credits are intended solely for eligible digital functionality expressly available within the VMD iOS application.

10. NFTs and Digital Collectibles on iOS

NFT functionality and other digital-asset functionality may be limited, unavailable, display-only, or otherwise restricted within the VMD iOS application depending on the current application version and applicable Apple requirements.

Where NFT display functionality is available, users may be permitted to view eligible NFT information or previously associated digital collectibles.

Possession or ownership of an NFT does not automatically unlock functionality within the VMD iOS application.

Features involving NFTs, digital collectibles, marketplace transactions, transfers, or other digital assets that may exist elsewhere within the broader VMD ecosystem are not automatically available through the iOS application.

11. Subscriptions and Digital Features

VMD may offer eligible subscriptions, creator functionality, digital access, digital services, or other digital features.

Availability and permitted purchasing methods may vary by platform and application version.

Where Apple In-App Purchase is required for eligible digital functionality offered within the VMD iOS application, the applicable purchase must be processed through the purchasing mechanism made available in the iOS application.

12. Physical Products and Real-World Services

Apple-purchased VMD balances cannot be used to purchase physical products, shipping, delivery, physical services, or other real-world goods or services.

The availability of physical-commerce functionality elsewhere in the broader VMD ecosystem does not mean that such functionality is available or payable with Apple-purchased balances within the VMD iOS application.

13. Marketplace and Commerce

VMD may provide marketplace or commerce functionality on supported platforms. Availability, transaction methods, seller requirements, buyer protections, payment methods, fulfillment procedures, and permitted balance types may vary by platform and transaction.

Users participating in eligible commerce functionality are responsible for providing accurate information and complying with applicable laws, transaction requirements, seller obligations, intellectual-property requirements, shipping obligations, and VMD policies.

14. Creator and Media Features

VMD may provide tools for creators, musicians, entrepreneurs, merchants, event organizers, publishers, streamers, and other users.

Feature availability, monetization methods, digital access, subscriptions, rewards, uploads, live streaming, events, games, marketplace functionality, and other creator tools may vary between iOS and other VMD platforms.

Users are responsible for ensuring that content and materials they publish through these tools comply with applicable law and that they possess all required rights and permissions.

15. Prohibited Conduct

Users may not use VMD to:

• engage in fraud, deception, impersonation, or unauthorized account activity;
• violate applicable laws or regulations;
• infringe intellectual-property or other legal rights;
• distribute malicious code or intentionally interfere with VMD systems;
• attempt to gain unauthorized access to accounts, systems, services, databases, or restricted functionality;
• bypass payment, balance, security, privacy, moderation, or platform restrictions;
• manipulate Apple-purchased balance classifications or attempt to transfer, withdraw, redeem, or use restricted Apple-purchased balances for ineligible purposes;
• abuse reporting, moderation, messaging, marketplace, creator, wallet, or other VMD systems.

16. Safety and Moderation

VMD may use reporting, blocking, moderation, account restrictions, content restrictions, security controls, and other measures intended to protect users and the Platform.

VMD may investigate reports and may remove content, restrict functionality, suspend accounts, or take other appropriate action where reasonably necessary to enforce applicable policies, protect users, address abuse, prevent fraud, or comply with legal obligations.

17. Intellectual Property

VMD's software, branding, logos, interface elements, proprietary systems, designs, original content, and other materials owned by Viral Media Digital LLC are protected by applicable intellectual-property laws.

Except where expressly authorized, users may not copy, reproduce, distribute, modify, reverse engineer, sell, sublicense, or exploit VMD proprietary materials in a manner that violates applicable law or VMD's rights.

Users remain responsible for respecting the intellectual property rights of third parties when uploading or publishing content through VMD.

18. Availability and Changes to Features

VMD is an evolving digital ecosystem. Features may be added, modified, limited, suspended, replaced, or removed as the Platform develops.

Certain features may be unavailable because of application version, operating system, geographic availability, technical limitations, security requirements, legal requirements, App Store requirements, account status, or other operational considerations.

VMD does not guarantee that every feature available on one platform will be available on another platform.

19. Service Availability

VMD works to maintain reliable access to its services but does not guarantee uninterrupted or error-free operation.

Services may be temporarily unavailable because of maintenance, infrastructure changes, updates, security incidents, network failures, third-party service interruptions, technical problems, or circumstances beyond VMD's reasonable control.

20. Account Restrictions and Termination

VMD may restrict, suspend, or terminate accounts or functionality where reasonably necessary because of violations of these Terms, fraud, abuse, security risks, legal requirements, repeated policy violations, unauthorized activity, or threats to users or the Platform.

Users remain responsible for obligations arising from activity occurring before an account restriction, suspension, or termination.

21. Refunds, Reversals, and Apple Transactions

Apple In-App Purchases are processed through Apple's purchasing infrastructure.

Refunds, reversals, transaction status changes, and other Apple purchase matters may be subject to Apple's applicable procedures and decisions.

Where VMD receives reliable information concerning an Apple refund, reversal, cancellation, or invalid transaction, VMD may make corresponding adjustments to the associated digital balance or digital entitlement when reasonably necessary to maintain accurate transaction records.

22. No Guaranteed Monetary Value

Displayed VMD balances, digital utility credits, rewards, NFTs, or other digital elements must not be interpreted as a guarantee of monetary value, future value, liquidity, appreciation, profit, or redemption.

Restrictions applicable to a balance remain applicable regardless of how the balance is visually displayed within the VMD Wallet.

23. Third-Party Services

Certain VMD functionality may depend on third-party infrastructure, operating systems, cloud services, payment processors, application stores, content-delivery systems, or other service providers.

Use of third-party services may also be subject to the applicable third party's terms, policies, and technical requirements.

24. Privacy

VMD's collection, processing, storage, protection, and use of personal information is described separately in the applicable VMD Privacy Policy.

The VMD Apple iOS Privacy Policy contains additional information relevant to the VMD iOS application, including Apple In-App Purchase information, transaction validation, balance classification, and platform-specific data processing.

25. Disclaimer

To the extent permitted by applicable law, VMD services are provided on an “as available” basis. Functionality may depend on network connectivity, device compatibility, application version, third-party services, operating-system requirements, account eligibility, and other technical or operational conditions.

Nothing in these Terms excludes rights or protections that cannot lawfully be excluded under applicable law.

26. Limitation of Liability

To the maximum extent permitted by applicable law, Viral Media Digital LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use the Platform where such limitation is legally permitted.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

27. Changes to These Terms

VMD may update these Terms as the Platform, legal requirements, security requirements, business operations, application functionality, or applicable platform requirements evolve.

When these Terms are materially updated, VMD may update the “Last Updated” date and may provide additional notice where required or appropriate.

Continued use of the VMD iOS application after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.

28. Governing Law

These Terms are governed by applicable law, subject to any mandatory consumer-protection, jurisdictional, or other legal rights that cannot lawfully be waived or restricted.

Viral Media Digital LLC is a Florida limited liability company.

29. Apple-Specific Terms

30. Entire Agreement and Severability

These Terms, together with other applicable VMD policies and agreements presented to the user, govern use of the applicable VMD services.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
