Viral Media Digital – Terms, Policies & Legal Framework

This legal framework governs the use of Viral Media Digital (“VMD”), including its website, mobile application, wallet interface, marketplace systems, communication features, NFT and digital asset tools, and related ecosystem utilities.

1. Corporate Identity & Platform Role

Viral Media Digital (“VMD”) is a technology platform corporation that provides digital infrastructure, software tools, interface systems, ecosystem utilities, and user-operated marketplace, communication, and digital asset functionalities.

VMD is not a bank, money transmitter, brokerage, investment company, escrow service, payment processor, insurance company, carrier, securities issuer, legal advisor, tax advisor, financial institution, or fiduciary.

VMD provides technology tools only. All actions, uploads, communications, listings, transfers, purchases, sales, exchanges, interactions, and decisions conducted within the platform are executed independently by users.

Unless explicitly stated otherwise in a separate written policy, VMD does not:

• Take title to user goods or digital assets
• Guarantee transactions between users
• Act as custodian of user property
• Verify every identity, listing, product, NFT, message, claim, or transaction
• Guarantee legality, authenticity, delivery, value, resale ability, or performance of any item or asset listed on the platform

By accessing or using the VMD website, mobile application, wallet interface, marketplace, communication systems, or any related services, users fully accept these Terms.

2. Account Registration & User Responsibility

Users must register with a valid Gmail account or any other login method authorized by VMD.

Users are fully responsible for:

• Account security
• Password protection
• Device security
• Session management
• All activities under their account
• Accuracy of information they provide
• Compliance with all local, national, and international laws applicable to their conduct

Users must not:

• Share credentials irresponsibly
• Impersonate another person or entity
• Create misleading accounts
• Use bots, scripts, or abusive automation to manipulate platform systems
• Attempt to bypass security, anti-recording, anti-screenshot, anti-fraud, or moderation systems

VMD is not liable for losses caused by user negligence, credential sharing, phishing, scams, social engineering, malware, or unauthorized access resulting from weak personal security practices.

If a user believes their account has been compromised, they must immediately notify VMD and take all available steps to secure the account.

3. Marketplace Policy (Peer-to-Peer Infrastructure)

A) Platform Role

The VMD Marketplace operates as a peer-to-peer (“P2P”) infrastructure. VMD provides listing tools, discovery interfaces, communication features, digital transaction interfaces, and reporting systems only.

VMD does not act as seller, reseller, distributor, importer, exporter, fulfillment center, courier, escrow agent, collection agent, insurer, guarantor, or marketplace principal. All commercial activity is conducted directly between users.

B) Shipping & Delivery Responsibility

All shipping, packaging, delivery, insurance, customs, taxes, duties, handling, and logistics are the sole responsibility of the users involved in the transaction.

VMD is not responsible for:

• Lost packages
• Stolen packages
• Shipping delays
• Customs issues
• Carrier failures
• Damaged deliveries
• Incorrect addresses
• Delivery refusal
• Failed pickup attempts
• International import/export restrictions

C) Product Image Standards

To maintain quality standards:

• Physical product images should use a white background whenever required by platform category rules
• Images must accurately represent the product
• Descriptions must clearly state condition, defects, included accessories, and whether the item is new, used, refurbished, limited, collectible, or digital
• Event and subscription listings may use creative backgrounds if they comply with platform rules and do not mislead users

D) Product Condition Responsibility

Sellers are solely responsible for:

• Product authenticity
• Lawful ownership or lawful right to sell
• Product condition
• Description accuracy
• Legal compliance
• Intellectual property compliance
• Delivery commitments they choose to offer

E) Buyer Protection & Evidence-Based Review

Users may report issues including:

• Non-delivery
• Wrong item received
• Damaged item
• Incomplete order
• Material misrepresentation
• Counterfeit concerns
• Suspected fraud

Any refund or review request may require verifiable evidence, including:

• Photos
• Videos
• Chat records
• Tracking details
• Proof of shipment
• Proof of delivery attempts
• Item condition documentation
• Timestamps or relevant transaction records

F) Refund Authority

VMD may review disputes and may issue platform-level remedies or refunds at its sole discretion where sufficient evidence supports a claim. Refunds are not automatic and are not guaranteed.

G) Three-Strike Seller Suspension Policy

After three (3) verified failures, a store, seller account, or listing privilege may be suspended, restricted, or permanently removed.

VMD may suspend or remove access immediately, without waiting for three strikes, in cases involving:

• Fraud
• Illegal products
• Counterfeit items
• Abuse of users
• Harassment
• Dangerous conduct
• Repeated misrepresentation
• Platform manipulation
• Intellectual property violations

4. Refund Policy

Refunds are evaluated case-by-case.

VMD may:

• Request additional documentation
• Pause investigation
• Place temporary restrictions
• Deny fraudulent, abusive, or unsupported claims
• Limit refund eligibility
• Restrict repeat abuse of the refund process

Users who engage in abusive refund behavior, false claims, evidence manipulation, or coordinated fraud may face account restriction, removal of marketplace access, permanent suspension, or referral to legal authorities where appropriate.

5. Wallet & Token Disclaimer

The VMD Wallet is a digital utility interface and not a bank account, deposit account, savings product, custody guarantee, insured account, or investment account.

The VMD Token is a digital utility asset intended solely for internal ecosystem functionality, access, interaction, and permitted platform-based use cases.

The VMD Token does not represent:

• Equity
• Shares
• Ownership in VMD
• Debt
• Profit participation
• Dividends
• Guaranteed liquidity
• Guaranteed appreciation
• Guaranteed returns
• Guaranteed redemption rights

No user should interpret any wallet balance, token display, reward display, or platform functionality as a promise of profitability, appreciation, resale value, or financial performance.

Users are solely responsible for understanding the legal and tax consequences of holding, using, transferring, or transacting with any digital asset available through the platform.

6. NFT & Digital Asset Policy

A) Nature of NFTs and Digital Assets on VMD

VMD may allow users to create, upload, mint, display, transfer, purchase, sell, list, or interact with NFTs and other blockchain-linked or platform-linked digital assets. Unless explicitly stated otherwise in a separate written agreement, VMD provides only the technological interface and related tools.

VMD does not guarantee:

• Market value
• Uniqueness beyond the technical metadata or smart contract structure used
• Legal enforceability in every jurisdiction
• Resale demand
• Future utility
• Off-platform recognition
• Uninterrupted blockchain availability
• Metadata permanence unless explicitly provided by the relevant system architecture

B) No Investment Representation

NFTs and digital assets made available through VMD are provided as digital utility, collectible, access, identity, community, media, or ecosystem-based assets only. They are not represented by VMD as securities, investment contracts, investment opportunities, guaranteed stores of value, or guaranteed appreciating assets.

Users acknowledge that digital asset markets are highly volatile, risky, technologically dependent, and subject to changing legal and regulatory treatment.

C) User Responsibility for NFT Content and Rights

Users who mint, upload, tokenize, list, or otherwise publish NFT-related content represent and warrant that they have all necessary rights to:

• The media
• Artwork
• Music
• Animation
• Metadata
• Trademarks
• Names
• Likenesses
• Linked files
• Commercial rights they claim to offer

Users may not tokenize, sell, or represent rights they do not actually own.

D) Ownership Scope

Ownership or possession of an NFT or digital asset on or through VMD does not automatically transfer copyright, trademark rights, commercial exploitation rights, reproduction rights, or licensing rights in the underlying content unless such rights are expressly granted in writing by the rights holder.

By default, acquisition of an NFT should be understood as ownership or control of the tokenized or platform-recognized asset instance only, not universal intellectual property ownership of the underlying content.

E) Technical Risks

Users accept all risks associated with NFTs and digital assets, including:

• Blockchain interruptions
• Wallet errors
• Smart contract issues
• Metadata corruption
• Storage failures
• Broken links
• Third-party service outages
• Forks
• Unsupported chains
• Gas fees
• Irreversible transfers
• Private key loss
• Fraud by counterparties
• Scams and impersonation

VMD is not liable for losses arising from such risks.

F) NFT Moderation and Removal

VMD may remove, disable, delist, restrict visibility of, or block interaction with any NFT, collection, or digital asset content that appears to involve:

• Stolen content
• Copyright infringement
• Trademark misuse
• Fraud
• Impersonation
• Non-consensual imagery
• Illegal material
• Harmful conduct
• Deceptive metadata
• Platform abuse

VMD may take such action without prior notice where necessary to protect users, legal compliance, or platform integrity.

7. Games & Reward Systems

VMD may offer games, engagement systems, rankings, and reward-based activities.

Rewards, access levels, achievements, utility points, or platform incentives may be:

• Limited
• Modified
• Paused
• Revoked
• Discontinued
• Made conditional on anti-fraud review

VMD may restrict or remove rewards associated with:

• Automation
• Manipulation
• Exploit abuse
• Duplicate accounts
• Unfair play
• Suspicious activity

No game, reward, or utility mechanic creates an obligation for VMD to maintain a permanent reward structure or exchange value.

8. Privacy Policy

VMD collects limited information reasonably necessary to operate platform functionality, security, moderation, fraud prevention, product support, dispute review, and legal compliance.

This may include:

• Account data
• Login identifiers
• Usage logs
• Device and session signals
• Transaction records
• Listing activity
• Wallet interaction records
• Communications metadata
• Reports, moderation events, and safety logs

Private Stories, private chats, and restricted-view media may include anti-screenshot, anti-recording, anti-forwarding, or access-control protections. Users agree not to attempt to bypass, interfere with, or exploit such protections.

VMD may access internal logs, transaction records, support reports, moderation history, and technical event logs for:

• Fraud prevention
• Abuse detection
• Safety enforcement
• Compliance review
• Dispute investigation
• Service integrity

VMD does not sell personal data.

VMD may disclose information where reasonably necessary to:

• Comply with law
• Enforce these Terms
• Protect users
• Investigate fraud
• Respond to legal process
• Protect the rights, safety, and security of VMD, its users, and the public

9. User Content, Ownership & License

A) User Ownership

Users retain ownership of the content they lawfully create and upload to VMD, including, where applicable:

• Photos
• Videos
• Stories
• Profile content
• Product listings
• Event content
• Audio notes
• Chat content
• NFTs and related media
• Descriptions
• Branding elements they own

VMD does not claim ownership of user content merely because it is uploaded to the platform.

B) License to Operate the Platform

By uploading, posting, storing, minting, listing, transmitting, or sharing content through VMD, the user grants VMD a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, format, display, transmit, index, moderate, and use that content solely as reasonably necessary to:

• Operate the platform
• Provide requested services
• Display listings and profiles
• Enable marketplace interactions
• Secure the system
• Investigate abuse
• Enforce policies
• Improve compatibility and technical delivery

This license exists only to the extent necessary for platform operation and enforcement.

C) Responsibility for Content

Users are solely responsible for the legality, accuracy, safety, ownership, and consequences of the content they upload, publish, tokenize, transmit, or sell. VMD does not guarantee that user content is accurate, lawful, authentic, respectful, or safe.

D) Prohibited Content

Users may not upload, list, transmit, mint, tokenize, promote, or distribute content that:

• Infringes intellectual property rights
• Is fraudulent or deceptive
• Is defamatory
• Is threatening or abusive
• Promotes violence
• Exploits minors
• Is sexually exploitative or non-consensual
• Is illegal
• Contains malicious code, spyware, or technical abuse
• Impersonates another person or brand
• Encourages harassment, scams, or unlawful conduct

10. Community Conduct, Respect & Good Practices

VMD is built to provide tools for creation, communication, commerce, and digital participation. Users are expected to act with respect, professionalism, and good faith.

Users agree to:

• Treat other users with dignity and respect
• Communicate honestly
• Avoid harassment, intimidation, humiliation, threats, hate, or abusive conduct
• Avoid manipulative behavior, false claims, and bad-faith disputes
• Follow fair dealing practices
• Maintain accurate listings and responsible communication
• Help preserve a safe and constructive community environment

VMD may take action against behavior that undermines trust, safety, respectful treatment, or healthy platform participation, even where the behavior may not independently violate a criminal law.

11. Intellectual Property

All VMD trademarks, names, logos, branding, interface designs, software systems, code, features, text, graphics, visual systems, workflows, and original platform materials remain the exclusive property of Viral Media Digital or its licensors.

Unauthorized reproduction, scraping, data extraction, automated copying, reverse engineering, mirroring, resale of platform code or design systems, or unauthorized use of VMD intellectual property is strictly prohibited.

Users may not use VMD branding in a way that implies partnership, endorsement, certification, official affiliation, or ownership without written authorization.

12. Enforcement, Moderation & Platform Controls

VMD may, at its sole discretion and with or without prior notice where appropriate:

• Remove content
• Delist products or NFTs
• Restrict accounts
• Limit wallet or marketplace functionality
• Suspend messaging features
• Freeze visibility of listings
• Require identity or evidence review
• Issue warnings
• Permanently remove repeat offenders

13. Limitation of Liability

To the maximum extent permitted by law, VMD shall not be liable for:

• Financial losses
• Speculative losses
• Lost profits
• Lost opportunities
• Token or NFT value decline
• Failed sales or missed bids
• Marketplace disputes
• Delivery failures
• User misconduct
• Scams
• Impersonation
• Smart contract issues
• Blockchain failures
• Metadata loss
• Account compromise
• Content takedowns
• System outages
• Technical interruptions
• Indirect, incidental, consequential, special, or punitive damages

14. Indemnification

Users agree to defend, indemnify, and hold harmless VMD, its founders, officers, directors, employees, contractors, affiliates, licensors, and partners from and against claims, disputes, liabilities, damages, losses, costs, and expenses arising from:

• User conduct
• User content
• User listings
• NFT activity
• Intellectual property violations
• Fraudulent acts
• Misuse of the platform
• Violation of these Terms
• Disputes with other users

15. Arbitration & Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to VMD shall be resolved through binding arbitration under the laws of the State of Florida, USA.

Users waive the right to participate in class actions or representative proceedings.

16. Force Majeure

VMD shall not be liable for delays or failures caused by events beyond reasonable control including:

• Cyberattacks
• Infrastructure outages
• Cloud failures
• Regulatory actions
• Telecommunications failures
• Third-party service disruptions
• Natural disasters
• War or civil unrest

17. Policy Updates

VMD may update these Terms at any time. Continued use of the platform constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Florida, United States.
